1. About these Terms
These Terms govern your use of the MyHR Software Platform (the Platform). They are a contract between you, as an individual Authorised User, and MyHR Limited (New Zealand), the company that owns the Platform.
Your employer (or the organisation that authorised you) has a separate Customer Agreement with either MyHR Limited or one of its resellers (MyHR Australia Pty Ltd or MyHR Platform Canada Limited). That agreement covers the commercial subscription to the Platform. These Terms cover your access to the Platform as an individual user.
By signing into the Platform or otherwise using it, you accept these Terms. If you do not accept them, you must not access or use the Platform.
From time to time MyHR may also ask you to confirm acceptance by clicking “I accept” or some similar form of acceptance when you sign in. That click-through, when used, is an additional acceptance method and does not replace the deemed acceptance above.
2. Who can use the Platform
You may only use the Platform if you are an Authorised User of a current MyHR Customer. “Authorised User” and other capitalised terms have the meanings set out at the end of these Terms.
3. Your right to use the Platform
MyHR grants you the right to use the Platform as an Authorised User on behalf of a MyHR Customer, subject to your compliance with these Terms. Your right to use the Platform is granted by MyHR Limited as the owner of the Platform, and exists alongside your organisation’s commercial subscription under its Customer Agreement.
Your right to use the Platform is subject to the following:
(a) you may only use the Platform while you are an Authorised User of a MyHR Customer, and for so long as that Customer’s Customer Agreement remains in force;
(b) you must immediately stop accessing and using the Platform if you cease to be an Authorised User, or if the Customer Agreement is terminated or expires for any reason;
(c) you may only use the Platform to the extent necessary for the MyHR Customer’s internal business purposes relating to human resources support;
(d) you may not transfer any of your right to use the Platform to any other person; and
(e) MyHR may suspend or terminate your right to use the Platform if you breach these Terms, if the relevant MyHR Customer or any related group company is in breach of the applicable Customer Agreement, or in any other circumstances specified in that Customer Agreement.
Your right to use the Platform is also subject to any restrictions or limitations set out in the applicable Customer Agreement. These may include limits on the features or functions you can access as an Authorised User of the MyHR Customer.
4. Account security
You are responsible for keeping secret and secure any Authorised User login or account information issued to you. You must not share it, or let any other person use it. You may not use any other Authorised User’s login or account information to access or use the Platform.
You must immediately notify MyHR of any unauthorised use of your login or account information. MyHR may then take any action it reasonably considers necessary to maintain or improve the security of the Platform, including temporarily suspending or limiting your access, or resetting your password.
5. Things you must not do
Without MyHR’s prior written consent, you must not do any of the following:
(a) interfere with any installation or operation of the Platform;
(b) adapt, translate, decompile, reverse engineer, reverse compile, reverse assemble or in any manner attempt to derive the source code of the Platform, or directly or indirectly allow or cause a third party to do so, except to the extent expressly permitted under applicable law;
(c) attempt to defeat or circumvent any hardware or software lock or licence key or code provided with, or incorporated within, the Platform;
(d) merge all or any part of the Platform with any other software;
(e) copy, modify, duplicate or create derivative works from the Platform;
(f) sell, sub-license, rent, lease or otherwise distribute the Platform (or any part of the Platform) to any other person;
(g) use the Platform on behalf of any person who is not a MyHR Customer; or
(h) encourage, assist or direct any other person to do any of the things set out in this clause 5.
6. MyHR’s rights in the Platform
You acknowledge that:
(a) the Platform is of significant commercial value to MyHR;
(b) legal and beneficial ownership of the Platform, and all Intellectual Property Rights in or to the Platform, vests with MyHR; and
(c) except as expressly stated in these Terms, no right is granted to you in relation to the Platform.
Your right under clause 3 is a right of access only. It is not a software licence and does not transfer any ownership, title or Intellectual Property Rights in the Platform to you.
7. Your organisation controls your access
Your access to the Platform is provided through your organisation’s subscription. Your organisation may add, change or remove your access, including suspending or removing it at any time, as permitted under the Customer Agreement. MyHR will act on instructions from your organisation or the applicable MyHR Reseller in relation to your access.
8. Privacy
Your organisation controls the employee data held on the Platform and is responsible for how that data is collected and used. MyHR processes that data on your organisation’s instructions.
MyHR’s Privacy Policy explains how MyHR collects, holds, uses and discloses personal information. The Privacy Policy is available at https://knowledge.myhr.works/privacy.
MyHR logs Platform usage activity (including login events, actions taken on the Platform, and technical access data) for security, audit, and service-improvement purposes. This logging is described in more detail in the Privacy Policy.
9. When MyHR may suspend your access
MyHR may suspend or terminate your access to the Platform if:
(a) you breach these Terms;
(b) MyHR reasonably believes your account or use of the Platform poses a security risk to MyHR, its infrastructure, other customers or third parties;
(c) the MyHR Customer that authorised you is in breach of the applicable Customer Agreement; or
(d) the applicable Customer Agreement is terminated or expires.
Where practicable, MyHR will give you (or your organisation) prior notice of any suspension of access. In urgent security cases, MyHR may suspend immediately and notify afterwards.
10. Warranties and liability
MyHR warrants and represents to you that it is entitled to provide the Platform in accordance with these Terms.
You acknowledge that:
(a) in entering into these Terms, you do not rely on any representation, warranty, term or condition that is not expressly set out in these Terms; and
(b) all conditions, warranties or other terms implied by statute or common law are excluded from these Terms, to the fullest extent permitted by law.
Without limiting the above, MyHR does not give any warranty, representation or undertaking:
(a) about the efficacy or usefulness of the Platform, or about any fitness for a particular purpose or merchantability;
(b) that the Platform will be uninterrupted, or free from bugs, defects, errors or outages; or
(c) that any content generated or accessible via the Platform will be accurate or complete.
You acknowledge and agree that:
(a) MyHR has no liability to you or to any MyHR Customer as a result of any representations or warranties given by any MyHR Reseller to any MyHR Customer in connection with the Platform; and
(b) any liability arising under a Customer Agreement will be as between the applicable MyHR Reseller (or MyHR, to the Customer Agreement) and the applicable counterparty to that Customer Agreement.
Liability cap. MyHR’s maximum liability to you (whether in contract, tort, negligence or in any other way) arising out of any and all claims under these Terms or relating to the Platform will not in any circumstances exceed in aggregate an amount calculated as the sum of:
(a) the total subscription fees payable under the applicable Customer Agreement for the 12-month period in which such liability first arose; divided by
(b) the total number of Authorised Users under that Customer Agreement during that 12-month period.
In no event will MyHR be liable (whether in contract, tort, negligence or in any other way) to you for:
(a) loss of revenue or profit, loss of anticipated savings, loss of goodwill or opportunity, loss of production, loss or corruption of data or wasted management or staff time; or
(b) loss, damage, cost or expense of any kind whatsoever that is indirect, consequential, or of a special nature, arising directly or indirectly from the Platform or these Terms,
even if MyHR had been advised of the possibility of such loss, damage, cost or expense, and even if such loss, damage, cost or expense was reasonably foreseeable by MyHR.
None of the exclusions or limitations in these Terms is intended to limit or exclude any liability for personal injury or death caused by the negligence or wrongful act of a party, or any other form of liability that cannot be so limited or excluded under applicable law.
11. Changes to these Terms
MyHR may amend these Terms at any time. If MyHR does, it (or the MyHR Reseller) will notify you or the applicable MyHR Customer by email, and/or by requiring you to “click to accept” the amended Terms the next time you use the Platform.
If you do not agree to an amendment, you should stop using the Platform. If you continue to use the Platform after notification of an amendment, you will be regarded as having accepted the amendment. For the avoidance of doubt, this clause is the exclusive mechanism by which MyHR may update these Terms; no individually negotiated amendment with you will be effective unless in writing and signed by an authorised representative of MyHR.
12. Force majeure
MyHR will not be liable for any failure to provide or make available the Platform due to an event of Force Majeure. “Force Majeure” includes any inability to obtain supplies or labour, industrial disputes, delays, act of God, fire, flood, storm, pandemic, adverse weather conditions, or other matters beyond MyHR’s reasonable control.
13. General
These Terms embody the entire agreement between you and MyHR in relation to the subject matter of these Terms, and supersede all prior understandings, communications and representations between you and MyHR, whether oral or written. You acknowledge that you do not rely on any representation, agreement, term or condition that is not set out in these Terms.
You may not assign, transfer or sub-contract any of your rights or obligations under these Terms without first obtaining MyHR’s written consent.
These Terms are governed by the laws of New Zealand. You and MyHR submit to the non-exclusive jurisdiction of the New Zealand courts.
14. Definitions
In these Terms:
Authorised User means a person who is an employee or personnel of a MyHR Customer and who has been authorised by the MyHR Customer to use the Platform on behalf of the MyHR Customer.
Customer Agreement means a subscription agreement entered into between either MyHR or a MyHR Reseller and another party, under which that other party is authorised to use the Platform via its employees or personnel.
Intellectual Property Rights means all industrial and intellectual property rights (including applications for such rights) whether conferred by statute, at common law or in equity, including all copyrights and similar rights, rights in relation to inventions (including patents and patent applications), rights in relation to trade secrets and confidential information, rights in relation to designs (whether or not registrable), rights in relation to registered and unregistered trade marks and business names, rights in relation to circuit layouts, and other rights as defined by Article 2 of the Convention of July 1967 establishing the World Intellectual Property Organisation, as may exist anywhere in the world.
MyHR means MyHR Limited, incorporated in New Zealand (NZBN 9429031116916), registered office at Unit 4, 485c Rosebank Road, Avondale, Auckland 1026.
MyHR Customer means any company or other entity that is authorised under a Customer Agreement to use the Platform via its employees or personnel.
MyHR Reseller means MyHR Australia Pty Ltd (ABN 70 620 586 003) and MyHR Platform Canada Limited (BC1444706), being the companies within the MyHR group of companies that MyHR has appointed as resellers of the Platform in Australia and Canada respectively.
Platform means the MyHR Software Platform, being the cloud-based HR management software made available by MyHR or its MyHR Resellers and known as MyHR.
Terms means these MyHR User Terms of Use.
You or your means an individual who wishes to use the Platform on behalf of a MyHR Customer.
